Terms & Conditions

Last Updated: September 28, 2026

Welcome to Smull Business Systems LLC (“Smull Business Systems,” “SBS,” “we,” “us,” or “our”).

These Terms & Conditions (“Terms”) govern your use of our websites, forms, surveys, communications, products, services, and other offerings. They also apply to transactions conducted through our websites unless separate written terms, agreements, proposals, order forms, or service-specific policies apply.

By accessing our website, submitting information, purchasing a product or service, or otherwise using our services, you agree to these Terms.

If you do not agree with these Terms, please do not use our website or services.

Not every service is available to every customer, and specific features, pricing, limitations, and requirements may vary.

2. Eligibility and Accurate Information

You agree to provide accurate, current, and complete information when using our website, submitting forms, creating accounts, purchasing services, or communicating with SBS.

You are responsible for maintaining the accuracy of information associated with your account or services.

If you are acting on behalf of a business, ministry, nonprofit, organization, or other entity, you represent that you have authority to act on behalf of that entity.

3. Consultations, Surveys, and Recommendations

SBS may use surveys, questionnaires, consultations, assessments, or other information you provide to help identify products, services, systems, or strategies that may be appropriate for your organization.

Recommendations are based on the information available to us at the time and are intended to assist with decision-making.

Submitting a survey, questionnaire, or consultation request does not obligate you to purchase services from SBS, nor does it obligate SBS to accept you as a client.

Unless expressly stated otherwise in writing, recommendations do not guarantee any particular business, financial, marketing, technological, or other result.

4. Services and Separate Agreements

Certain SBS services may require a separate:

Proposal

Statement of work

Service agreement

Subscription agreement

Order form

Project agreement

Licensing agreement

Provider agreement

Other written terms

If a separate written agreement conflicts with these general Terms, the specific written agreement will control for the services covered by that agreement.

This allows different SBS services to have appropriate terms based on the nature of the product or service being provided.

5. Pricing and Payment

Prices may vary depending on the service, subscription, project scope, third-party provider costs, usage, customization, or other requirements.

You agree to pay all charges you authorize according to the pricing and payment terms presented at the time of purchase or contained in your applicable agreement.

Some services may involve:

One-time payments

Deposits

Monthly or annual subscriptions

Recurring charges

Usage-based charges

Setup or implementation fees

Third-party fees

Renewal fees

Additional project or customization charges

Where recurring billing is authorized, charges may continue according to the agreed billing schedule until the applicable service is canceled in accordance with its cancellation terms.

You are responsible for maintaining valid payment information when recurring services are active.

6. Third-Party Fees and Price Changes

Many technology services rely on third-party providers whose pricing is outside SBS's direct control.

Examples may include domain registries, hosting infrastructure, email providers, telecommunications providers, artificial intelligence platforms, software vendors, payment processors, messaging providers, and other technology companies.

Third-party providers may change their pricing, fees, usage limits, or terms.

Where these changes affect the cost of providing an SBS service, SBS may adjust pricing accordingly. When reasonably practical, we will provide notice before material changes to recurring SBS charges take effect.

7. Cancellations and Refunds

Cancellation and refund terms may vary by product or service.

Because SBS provides a combination of consulting, custom work, digital services, subscriptions, domain registrations, hosting, software, AI services, and third-party products, there is no single refund rule that applies to every SBS offering.

Applicable cancellation and refund terms may be provided:

At checkout

In a proposal

In an invoice

In a service agreement

In an order form

In a subscription agreement

In a product-specific policy

Elsewhere during the purchase process

Certain fees may be non-refundable once incurred, particularly when SBS has already performed work or paid a third party on your behalf.

Examples may include domain registrations or renewals, software licenses, setup costs, usage charges, custom work already performed, processing costs where permitted, and third-party service charges.

Please review the terms associated with a particular purchase before completing the transaction.

8. Domains

Domain registration, transfer, renewal, and management services may be subject to additional requirements imposed by registries, registrars, ICANN, and other domain service providers.

Domain availability is not guaranteed until registration is successfully completed.

Customers are responsible for maintaining accurate domain contact information and paying renewal charges when required.

Failure to renew a domain on time may result in expiration, interruption of associated services, additional redemption fees, or loss of the domain.

SBS cannot guarantee recovery of an expired domain.

9. Hosting, Email, and Website Services

Hosting, email, websites, and related services may depend on third-party infrastructure.

While SBS works to provide reliable systems and support, we cannot guarantee uninterrupted or error-free availability.

Maintenance, software updates, internet outages, cyberattacks, provider outages, configuration changes, hardware failures, or circumstances beyond our reasonable control may occasionally affect service availability.

Customers are responsible for providing SBS with accurate information and timely access, content, approvals, credentials, or other materials reasonably required to perform contracted services.

10. CRM, Automation, and Communication Systems

SBS may provide CRM systems, marketing automation, workflows, email systems, SMS systems, appointment scheduling, customer follow-up, and related communication technology.

Customers are responsible for using these systems in compliance with applicable laws and regulations.

This includes obtaining appropriate consent before sending marketing communications, text messages, automated communications, or other messages when consent is legally required.

Customers are responsible for the content and recipient lists used in their own marketing and communication activities unless otherwise agreed in writing.

11. SMS and Text Messaging

When you provide your mobile number to SBS and provide the applicable consent, you may receive text messages consistent with that consent.

Messages may include customer service communications, appointment reminders, responses to inquiries, account or service information, and, when separately authorized, marketing or promotional communications.

Message frequency may vary. Message and data rates may apply.

You may opt out of SMS communications by replying STOP. For assistance, reply HELP or contact SBS.

Consent to receive marketing text messages is not a condition of purchasing goods or services.

Additional SMS or messaging terms may apply and may be provided separately.

12. Artificial Intelligence Services

Some SBS products and services may incorporate artificial intelligence (“AI”), automated systems, machine-generated content, third-party AI models, or AI-assisted workflows.

AI systems may occasionally generate inaccurate, incomplete, outdated, unexpected, or inappropriate outputs.

Customers should review AI-generated content and outputs before relying on, publishing, distributing, or acting upon them.

Unless expressly agreed otherwise in writing, AI tools provided through SBS are intended to assist human decision-making rather than replace professional judgment.

SBS does not guarantee that AI-generated content will be error-free, unique, suitable for every purpose, or free from the need for human review.

13. Third-Party Platforms and Services

SBS may integrate, configure, recommend, resell, white-label, or otherwise use products and services provided by third parties.

These may include software platforms, hosting companies, domain registrars, payment processors, telecommunications services, artificial intelligence providers, email providers, CRM platforms, analytics services, and other technology vendors.

Use of third-party services may be subject to the provider's own terms, policies, pricing, availability, and restrictions.

SBS does not control third-party providers and cannot guarantee their continued availability, features, performance, pricing, or policies.

14. Customer Accounts and Security

If you receive login credentials or access to an SBS or third-party system, you are responsible for protecting your credentials and controlling access to your account.

You agree to notify SBS promptly if you become aware of unauthorized access, compromised credentials, or suspected security issues involving services we manage.

You are responsible for activity occurring through credentials under your control except where otherwise required by law or agreed in writing.

15. Acceptable Use

You may not use SBS websites, systems, products, or services to:

Violate applicable laws or regulations

Send unlawful spam or communications

Engage in fraud or deceptive activities

Infringe intellectual property or privacy rights

Distribute malware or malicious code

Attempt unauthorized access to systems or data

Interfere with the operation or security of our systems

Harass, threaten, or unlawfully harm others

Conduct activities prohibited by an applicable third-party service provider

SBS may suspend or terminate access when reasonably necessary to protect our systems, customers, providers, or legal interests.

16. Intellectual Property

Unless otherwise stated, SBS websites, branding, logos, designs, written materials, training materials, systems, processes, graphics, and other original SBS content are owned by or licensed to Smull Business Systems and are protected by applicable intellectual property laws.

You may not reproduce, distribute, sell, publish, modify, or commercially exploit SBS proprietary materials without permission.

Ownership and licensing of custom work created for a client may be addressed in the applicable project or service agreement.

Third-party software, templates, images, fonts, AI models, plugins, and other materials remain subject to their respective licenses and ownership rights.

17. Client Content

You retain ownership of content and materials that you own and provide to SBS, subject to any rights necessary for us to perform the requested services.

You represent that you have the necessary rights and permissions to provide materials to SBS and authorize their use for your project or services.

You are responsible for ensuring that materials you provide do not unlawfully infringe the rights of others.

18. Results Are Not Guaranteed

Technology, marketing, consulting, automation, websites, AI, and business systems can support an organization, but results depend on many factors outside SBS's control.

Unless expressly guaranteed in a written agreement, SBS does not guarantee specific:

Revenue

Profit

Leads

Sales

Search rankings

Customer growth

Marketing performance

Cost savings

Business outcomes

AI outputs

Technology performance

Examples, demonstrations, case studies, projections, or prior customer experiences do not guarantee that another customer will receive the same results.

19. Professional Advice Disclaimer

Information provided through SBS websites, resources, consultations, technology, AI systems, or educational materials is provided for general business and informational purposes unless a specific professional service has been expressly contracted.

Nothing on the SBS website should automatically be interpreted as legal, tax, accounting, investment, medical, or other regulated professional advice.

When appropriate, you should consult a qualified professional regarding matters requiring specialized professional advice.

20. Availability and Changes to Services

We may modify, update, replace, discontinue, or add features to our websites, products, and services as our business and technology evolve.

We may also make changes when required because a third-party provider changes or discontinues a service.

When a material change directly affects an active paid service, we will make reasonable efforts to communicate appropriate information to affected customers.

21. Disclaimer of Warranties

To the extent permitted by law, SBS websites and general online resources are provided on an “as available” basis.

Except for warranties expressly provided in a written agreement or warranties that cannot legally be excluded, SBS makes no guarantee that websites, software, systems, integrations, AI tools, or third-party services will always be uninterrupted, error-free, or suitable for every customer's particular circumstances.

Nothing in these Terms excludes rights or warranties that cannot legally be excluded.

22. Limitation of Liability

To the fullest extent permitted by applicable law, Smull Business Systems will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the use of our website or services, including loss of profits, revenue, data, opportunities, or business interruption, except where such limitations are prohibited by law.

Where liability cannot legally be excluded, it will be limited only to the extent permitted by applicable law.

Additional liability terms may be included in individual service agreements.

23. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Smull Business Systems LLC and its owners, employees, contractors, and representatives from claims, damages, liabilities, or expenses arising from your unlawful use of our services, your violation of these Terms, or materials you provide that infringe the rights of another person.

24. Termination or Suspension

SBS may suspend or terminate access to services when appropriate due to:

Nonpayment

Material breach of an agreement

Unlawful or abusive use

Security risks

Fraud or suspected fraud

Violation of third-party provider requirements

Other circumstances described in an applicable service agreement

Customers may cancel services according to the cancellation provisions applicable to the particular service.

25. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute regarding a specific contracted service may also be governed by dispute-resolution provisions contained in the applicable service agreement.

26. Changes to These Terms

We may update these Terms periodically as our business, technology, products, services, or legal requirements change.

When these Terms are updated, we will revise the “Last Updated” date at the top of this page.

Your continued use of our website or services following an update constitutes acceptance of the revised Terms to the extent permitted by applicable law.

Material changes affecting an existing contracted service may be handled according to the applicable service agreement.

27. Privacy

Your use of our website and services is also subject to our Privacy Policy.
